Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Asset Genie website and asset and plant management platform (collectively, the “Service”), provided by Asset Genie (“Asset Genie,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1. Description of Service

Asset Genie provides software that helps organizations track assets, manage preventive and predictive maintenance, run inspections, manage work orders, and generate compliance reporting. Features and availability may vary by plan and are subject to change as we continue to develop the Service.

2. Accounts and Registration

To use certain features of the Service, you must register for an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use of your account.

3. Subscriptions and Payment

Paid plans are billed on the basis described in your order form or subscription agreement. Except as required by law or expressly stated otherwise, fees are non-refundable. We may change pricing for future subscription terms with reasonable advance notice.

4. Acceptable Use

You agree not to:

  • Use the Service in violation of any applicable law or regulation.
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems or networks.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law.
  • Use the Service to store or transmit unlawful, infringing, or harmful content.

5. Customer Data

You retain all rights to the asset, maintenance, inspection, and other operational data you submit to the Service (“Customer Data”). You grant us a limited license to host, process, and display Customer Data solely as necessary to provide and support the Service. We will not use Customer Data to train models or share it with third parties except as described in our Privacy Policy or as necessary to operate integrations you configure.

6. Intellectual Property

The Service, including its software, design, and content (excluding Customer Data), is owned by Asset Genie and its licensors and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features except as necessary to use the Service as intended.

7. Third-Party Integrations

The Service may allow integration with third-party systems, including ERP, SCADA, IoT, identity, and analytics platforms. Your use of such integrations is subject to the third party’s own terms, and we are not responsible for the availability, accuracy, or conduct of third-party systems.

8. Service Availability

We aim to provide reliable, high-uptime access to the Service but do not guarantee uninterrupted or error-free operation. Scheduled maintenance, third-party outages, and factors outside our reasonable control may affect availability. Specific uptime commitments, if any, are set out in a separate service level agreement with paying customers where applicable.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

10. Limitation of Liability

To the maximum extent permitted by law, Asset Genie will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service, even if advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold Asset Genie harmless from any claims, damages, liabilities, and expenses arising out of your misuse of the Service or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service if you materially breach these Terms and fail to cure the breach within a reasonable period after notice. You may cancel your subscription at any time in accordance with your order form or subscription agreement.

13. Changes to These Terms

We may update these Terms from time to time. We will post the updated version on this page with a revised “Last updated” date. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the jurisdiction in which Asset Genie is incorporated, without regard to conflict of law principles, unless otherwise agreed in a signed customer contract.
